Terms & Conditions
These Terms and Conditions govern the relationship between Cogniva ("we", "us", "our") and any person or organisation ("you", "User") who enrols in a programme, engages our consulting services, or uses this website. By submitting an enquiry, completing enrolment, or commissioning a consulting engagement, you agree to these terms. Please read them before proceeding.

1. Definitions
- "Agreement" means these Terms and Conditions together with any enrolment confirmation or consulting scope document issued by Cogniva.
- "Programme" means any of the three courses and consulting services offered by Cogniva as described on the Solutions page.
- "Content" means course materials, slides, bibliography documents, templates, and written deliverables produced by Cogniva.
- "Participant" means an individual enrolled in a Programme.
- "Client" means an organisation engaging the consulting service.
- "Website" means this site at cognivaasd.world.
2. Acceptance of Terms
By submitting an enrolment or engaging the consulting service, you confirm that:
- You are at least 18 years of age.
- You have read and understood these Terms and Conditions.
- You have the legal capacity to enter into a binding agreement under Malaysian law.
3. Programme Descriptions and Scope
Cogniva offers three programmes:
- Introduction to AI Systems — A four-week evening short course for non-technical staff. No assessment. Written attendance record issued on completion.
- Model Evaluation and Reliability — A nine-week course for engineers with existing model training experience. Assessment by evaluation suite and written report. Completion letter issued.
- Organisational AI Practice Consulting — A business-to-business engagement covering engineering practice, process design, and internal capability. Scope is defined in a written document agreed before work begins.
Programme scope limits are published on the Solutions page and form part of the Agreement. Cogniva's consulting engagement does not assess any regulated obligation the Client may carry; questions of that kind are outside scope and should be directed to the Client's own qualified advisers.
4. Enrolment and Course Access
- Enrolment is confirmed only upon receipt of payment in full.
- Places in cohorts are allocated in order of confirmed enrolment until the cohort cap is reached (18 for the short course; 10 for the evaluation course).
- Cogniva reserves the right to decline an enrolment if, in our reasonable assessment, the programme is not a suitable match for the applicant. In such cases, the full fee is refunded.
- Contact sessions take place in person at 33 Jalan Sungai Pinang, George Town, Penang.
5. Payment
- All fees are stated in Malaysian Ringgit (MYR) inclusive of any applicable tax.
- Payment is due in full before the programme start date unless a written payment arrangement has been agreed.
- Accepted payment methods will be confirmed in the enrolment documentation.
- HRD Corp claimable amounts are managed between the Participant or Client and HRD Corp directly; Cogniva provides the documentation required to support a claim but does not process claims on your behalf.
Refund Policy
- Cancellation more than 14 days before programme start: Full refund.
- Cancellation 7–14 days before programme start: 50% refund.
- Cancellation less than 7 days before programme start: No refund. A credit toward the next intake may be offered at Cogniva's discretion.
- Cogniva-initiated cancellation: Full refund issued within 14 days.
- Consulting engagement: refund terms are specified in the written scope document.
6. User Responsibilities
- Participants must attend sessions in a manner that does not disrupt other participants.
- Participants may not share or distribute course materials to third parties without written permission from Cogniva.
- For the evaluation course, participants are responsible for ensuring they have the right to use the model they bring for assessment purposes.
- Participants must provide accurate information during enrolment. Misrepresentation may result in cancellation without refund.
7. Intellectual Property
All course materials, templates, methodologies, and written deliverables produced by Cogniva remain the intellectual property of Cogniva unless otherwise agreed in writing.
Participants are granted a non-exclusive, non-transferable licence to use materials for their own personal professional development. Clients are granted a licence to use consulting deliverables internally within their organisation. Neither licence permits redistribution, sublicensing, or commercial use.
8. Disclaimers
Programmes are provided on the basis described in published programme specifications. Cogniva makes no representation that completion of a programme will lead to any particular employment, career, or technical outcome. Course materials reflect the published literature available at the time of the most recent review cycle; they are updated annually but may not reflect the most recent developments in a fast-moving field.
The consulting engagement provides recommendations based on published frameworks and practitioner experience. These recommendations are not legal, regulatory, or professional advice in any regulated sense. Clients are responsible for assessing the appropriateness of any recommendation for their specific regulatory and operational context.
9. Limitation of Liability
To the extent permitted by Malaysian law, Cogniva's liability for any claim arising from a Programme is limited to the fees paid for that Programme. Cogniva is not liable for indirect, consequential, or incidental damages, including loss of profits or data, however arising.
Nothing in these terms limits liability for death, personal injury, or fraud caused by negligence.
10. Confidentiality (Consulting)
Information shared by a Client during a consulting engagement will be treated as confidential and used only for the purposes of delivering the engagement. Cogniva will not disclose Client-specific information to third parties without written consent, except where required by law.
11. Termination
- Cogniva may terminate a Participant's enrolment if they materially breach these terms. In such cases, no refund is issued for sessions already delivered.
- A Client may terminate a consulting engagement with 14 days' written notice. Fees for work completed to the date of termination are payable.
- Cogniva may cancel a programme intake with full refund if minimum enrolment numbers are not reached.
12. Governing Law and Disputes
These Terms and Conditions are governed by the laws of Malaysia. Disputes shall first be addressed through direct written communication between the parties. If not resolved within 30 days, disputes may be referred to mediation under the Mediation Act 2012 (Malaysia) before litigation.
The courts of Malaysia, sitting in Penang, shall have jurisdiction over any dispute that proceeds to litigation.
13. General Provisions
- Entire agreement: These Terms, together with any enrolment confirmation or consulting scope document, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these terms without Cogniva's written consent.
- Notices: Formal notices should be sent by email to [email protected] or by post to the George Town address.
14. Changes to These Terms
We may update these Terms and Conditions. Material changes will be communicated to enrolled Participants by email and published on this page with a revised "Last Updated" date. Continued enrolment or engagement after the effective date of a change constitutes acceptance of the revised terms.
